1. Agreement to terms
These Terms of Service (“Terms”) govern your access to and use of Agent Studio (“Service”), including our website, platform, APIs, and related tools. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Use of the service
You may use the Service only in compliance with these Terms and all applicable laws. You are responsible for your use of the Service and for any content, data, or agents you create or run. You may not use the Service to harm others, violate their rights, or for any illegal or unauthorized purpose. We may suspend or terminate your access if you breach these Terms.
3. Account and security
You may need to create an account to use certain features. You must provide accurate information and keep your account secure. You are responsible for all activity under your account. Notify us promptly of any unauthorized use.
4. Intellectual property and your data
We own the Service, including our brand, software, and content. You retain ownership of your data and content. By using the Service, you grant us a limited license to host, process, and display your content as needed to provide and improve the Service. We do not use your content to train third-party models or for marketing without your consent.
5. Fees and payment
Some parts of the Service may be paid. Fees, billing cycles, and payment terms will be presented before you commit. We may change pricing with notice. Refunds are handled according to our refund policy or applicable law.
6. Disclaimers
The Service is provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law. We do not guarantee that the Service will be uninterrupted, error-free, or secure.
7. Limitation of liability
To the maximum extent permitted by law, Agent Studio and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred Canadian dollars (CAD $100), whichever is greater.
8. Governing law and venue
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia.
9. Changes
We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Continued use of the Service after changes constitutes acceptance. If you do not agree to the new Terms, you must stop using the Service.
